Trip Owner Terms and Conditions

Trip Owner Terms and Conditions for using the MXBS platform. Effective March 26, 2026.

Provider: AAGI Corp. (doing business as MotorCoachX / MXBS), an Ontario corporation — 115 Birkdale Rd, Scarborough, Ontario, Canada.

Agreement

By registering as a Trip Owner, accessing, or using the MXBS web app, you agree to be bound by these Terms. If you do not agree, do not register or use the platform.

1. Definitions

TripThe itinerary, pickup/drop-off addresses, stops, passenger count, dates, and all other details you post
ServicesOnly the provision of access to the MXBS platform for posting Trips and receiving Blind Bids

2. Our Role — Pure Intermediary

MXBS is a technology platform that collects, stores, and displays information only. We are not a transportation carrier, broker, travel agent, payroll provider, or payment processor.

We do not:

  • Arrange, perform, or supervise any bus trips
  • Handle any payments between TO and BO
  • Generate any T4s, invoices, or payroll documents
  • Guarantee any match, bid acceptance, or trip performance

All transportation services are performed solely by the winning BO under a direct contract formed between you (TO) and the winning BO outside the Platform. We have no liability whatsoever for any trip, safety issue, delay, accident, injury, property damage, regulatory violation, or dispute between you and any BO.

3. Eligibility and Registration

You represent and warrant that:

  • You have full legal authority to post the Trip and enter into a direct contract with the selected BO.
  • All information you post about any Trip is accurate, complete, and not misleading.
  • You are at least 18 years old (or the age of majority in your jurisdiction) and have full authority to bind your entity.
  • You will comply with all applicable laws when using the Platform and when performing your side of any direct contract.

We may reject or suspend any account at our sole discretion.

4. Trip Posting and Blind Bidding Process

  • You may post Trips with full details (pickup/drop-off, stops, itinerary, passenger count, etc.).
  • Bids you receive are Blind Bids — BOs cannot see each other's prices or terms. This feature is designed to promote fair, competitive, and honest bidding.
  • Your selection of a winning bid is final and creates an irrevocable obligation to proceed with that BO.
  • You must confirm the direct contract with the selected BO via the Platform's confirmation tool within the specified window. Failure to confirm may result in account suspension.
  • You agree not to contact any BO to circumvent the Platform or negotiate off-platform for the purpose of avoiding future use of MXBS.

5. Data and Platform Use

  • All data and Trip details you upload must be accurate.
  • You grant us a worldwide, royalty-free license to display, use, and analyze that data within MXBS.
  • We implement reasonable industry-standard security measures. However, no system is 100% secure, and we do not guarantee against all future attacks.

6. Fees

Fees are as communicated during registration or via in-platform notice. We reserve the right to introduce or modify fees with advance notice. You are responsible for any taxes on your own transactions.

7. Disclaimers

No warranties

The Platform and all content are provided "AS IS" and "AS AVAILABLE" without any warranty of any kind, express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and accuracy or reliability of any BO, bid, or match. We do not warrant that the Platform will be uninterrupted, error-free, or secure at all times. You are solely responsible for performing your own due diligence on any BO (insurance, safety record, licensing, etc.). We are not responsible for any BO's performance, safety, compliance, or any trip-related issue.

8. Limitation of Liability

Liability cap

To the maximum extent permitted by law, in no event shall AAGI, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with these Terms or the Platform. Our total aggregate liability to you shall not exceed the greater of (i) the fees you paid to us in the twelve months preceding the claim, or (ii) CAD $100. This limitation applies regardless of the legal theory (contract, tort, strict liability, etc.).

9. Indemnification

You agree to defend, indemnify, and hold harmless AAGI and its affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your posted Trips, any direct contract you enter with a BO, or any act or omission by you or your passengers
  • Any breach of these Terms or your representations and warranties
  • Any violation of US or Canadian laws related to your use of the Platform or your travel arrangements

10. Termination

We may terminate or suspend your account at any time, with or without notice, for any reason. You may terminate by closing your account. Sections 2, 7, 8, 9, 11, and 13 survive termination.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

All disputes shall be resolved by final and binding arbitration under the rules of the ADR Institute of Canada in Toronto, Ontario, on an individual basis. Class actions are not permitted. You waive any right to jury trial or class proceedings. The prevailing party is entitled to recover attorneys' fees.

12. Miscellaneous

  • These Terms constitute the entire agreement between you and AAGI. Amendments are only effective if made in writing by us.
  • If any provision is unenforceable, the rest remain in force.
  • No waiver of rights by either party.
  • You may not assign these Terms without our consent.
  • Force majeure applies, including cyber events beyond reasonable control.

By registering as a Trip Owner, you confirm you have read, understood, and agree to every clause above.
