Bus Operator Terms and Conditions
Bus Operator Terms and Conditions for using the MXBS platform. Effective March 24, 2026.
Provider: AAGI Corp. (doing business as MotorCoachX / MXBS), an Ontario corporation — 115 Birkdale Rd, Scarborough, Ontario, Canada.
Agreement
By registering as a Bus Operator, accessing, or using the MXBS web app, you agree to be bound by these Terms. If you do not agree, do not register or use the platform.
1. Definitions

| Blind Bid | A sealed price and service proposal submitted by a BO that is not visible to other BOs |
| Trip | The itinerary, pickup/drop-off, stops, passenger count, and other details posted by a TO |
| Services | Only the provision of access to the MXBS platform for viewing trips and submitting Blind Bids |
2. Our Role — Pure Intermediary
MXBS is a technology platform that collects, stores, and displays information only. We are not a transportation carrier, broker, travel agent, payroll provider, or payment processor.
We do not:
- Arrange, perform, or supervise any bus trips
- Handle any payments between TO and BO
- Generate any T4s, invoices, or payroll documents
- Guarantee any match, bid acceptance, or trip performance
All transportation services are performed solely by the winning BO under a direct contract formed between the TO and the winning BO outside the Platform. We have no liability whatsoever for any trip, safety issue, delay, accident, injury, property damage, regulatory violation, or dispute between TO and BO.
3. Eligibility and Registration
You represent and warrant that:
- You are a duly licensed and authorized motor carrier in every jurisdiction where you operate (US: FMCSA authority; Canada: CVOR, National Safety Code compliance).
- You maintain, at all times, commercial auto liability insurance of at least $5 million CAD/USD per occurrence (or the legal minimum, whichever is higher), naming AAGI as additional insured.
- You will provide proof of insurance, safety ratings, and licensing upon request.
- You are at least 18 years old and have full authority to bind your company.
We may reject or suspend any account at our sole discretion.
4. Blind Bidding Process and Your Obligations
- Bids are sealed and blind — you cannot see other BOs' bids, and they cannot see yours.
- Your bid is a firm, irrevocable offer to provide the exact Trip services at the price and terms you submit.
- Collusion, bid-sharing, screen-scraping, or any attempt to circumvent the blind-bid system is strictly prohibited and grounds for immediate termination and legal action.
- If your bid is accepted by the TO, you must confirm the direct contract with the TO via the Platform's confirmation tool within the specified window. Failure to confirm may result in account suspension and blacklisting.
- You are solely responsible for performing the Trip safely, legally, and on time.
5. Data, Expenses, and Platform Use
- You may enter driver availability, expenses, and working hours tied to a specific Trip ID via the linked mobile app.
- All data you upload must be accurate and complete.
- You grant us a worldwide, royalty-free license to display, use, and analyze that data within MXBS.
- We implement reasonable industry-standard security measures. However, no system is 100% secure, and we do not guarantee against all future attacks.
6. Fees
Fees are as communicated during registration or via in-platform notice. We reserve the right to introduce or modify fees with advance notice. You are responsible for any taxes on your own revenue from Trips.
7. Disclaimers
No warranties
The Platform and all content are provided "AS IS" and "AS AVAILABLE" without any warranty of any kind, express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and accuracy of matches or bids. We do not warrant that the Platform will be uninterrupted, error-free, or secure at all times. We are not responsible for any TO's trip description, payment, or performance, nor for any BO's safety record or compliance.
8. Limitation of Liability
Liability cap
To the maximum extent permitted by law, in no event shall AAGI, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with these Terms or the Platform. Our total aggregate liability to you shall not exceed the greater of (i) the fees you paid to us in the twelve months preceding the claim, or (ii) CAD $100. This limitation applies regardless of the legal theory (contract, tort, strict liability, etc.).
9. Indemnification
You agree to defend, indemnify, and hold harmless AAGI and its affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your bids, Trips, transportation services, or any act or omission by you or your drivers
- Any breach of these Terms or your representations and warranties
- Any violation of US or Canadian transportation, safety, or privacy laws
10. Termination
We may terminate or suspend your account at any time, with or without notice, for any reason. You may terminate by closing your account. Sections 2, 7, 8, 9, 11, and 13 survive termination.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
All disputes shall be resolved by final and binding arbitration under the rules of the ADR Institute of Canada in Toronto, Ontario, on an individual basis. Class actions are not permitted. You waive any right to jury trial or class proceedings. The prevailing party is entitled to recover attorneys' fees.
12. Miscellaneous
- These Terms constitute the entire agreement between you and AAGI. Amendments are only effective if made in writing by us.
- If any provision is unenforceable, the rest remain in force.
- No waiver of rights by either party.
- You may not assign these Terms without our consent.
- Force majeure applies, including cyber events beyond reasonable control.
By registering as a Bus Operator, you confirm you have read, understood, and agree to every clause above.
